1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and GradLyft, Inc. ("GradLyft," "we," "our," or "us") governing your access to and use of the GradLyft website, mobile applications, and any other online services or features that link to these Terms (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are accessing or using the Service on behalf of a company, organization, or other entity, you represent that you have the authority to bind such entity to these Terms, and "you" refers to both you individually and such entity.

2. Services Description

GradLyft provides a career development platform that connects students, universities, and employers. Our Service allows:

  • Students to create profiles, explore career resources, search for jobs, and connect with potential employers
  • Universities to manage career services, organize events, and track student outcomes
  • Employers to post job opportunities, identify qualified candidates, and participate in recruiting events

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

3. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that:

  • You are at least 16 years old
  • You have the legal capacity to enter into these Terms
  • Your use of the Service does not violate any applicable law or regulation
  • You will provide accurate and complete information when creating an account and using the Service

If you are under 18 years old, you represent that you have your parent or guardian's permission to use the Service. If you are a parent or legal guardian of a user under the age of 18, you agree to be fully responsible for the acts or omissions of such user.

4. Accounts and Registration

To access certain features of the Service, you may need to register for an account. When you register, you agree to:

  • Maintain and promptly update your account information
  • Keep your account credentials secure and not share them with others

By submitting User Content to the Service, you grant GradLyft a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating and providing the Service.

You represent and warrant that:

  • You own or have the necessary rights to submit your User Content and to grant the licenses described above
  • Your User Content does not infringe or violate the intellectual property rights or other rights of any third party
  • Your User Content complies with these Terms and all applicable laws and regulations

6. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws or regulations
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service
  • Use any automated means to access the Service or collect any information from the Service
  • Upload, post, or transmit any viruses, malware, or other code that may damage or interfere with the Service
  • Harass, threaten, intimidate, or harm any other user
  • Post false, misleading, or fraudulent content
  • Use the Service to send unsolicited communications or promotions
  • Attempt to circumvent any technological measure implemented by GradLyft to protect the Service
  • Encourage or enable any other individual to do any of the foregoing

We reserve the right, without notice and in our sole discretion, to remove any User Content or suspend or terminate your access to the Service if you engage in activities that violate these Terms.

7. Intellectual Property Rights

The Service and its contents, features, and functionality (including but not limited to all information, software, text, images, logos, and designs) are owned by GradLyft or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms, GradLyft grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes.

You may not:

  • Reproduce, distribute, publicly display, or publicly perform the Service
  • Modify, create derivative works of, decompile, or reverse engineer any part of the Service
  • Access the Service to build a similar or competitive product or service
  • Copy, frame, or mirror any part of the Service
  • Remove or alter any copyright, trademark, or other proprietary notices

8. Privacy

Our Privacy Policy describes how we collect, use, and share information about you when you use the Service. By using the Service, you consent to our collection, use, and sharing of information as described in our Privacy Policy.

9. Third-Party Links and Services

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by GradLyft. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that GradLyft shall not be responsible or liable for any damage or harm caused by or related to your use of any third-party websites or services.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

GradLyft does not warrant that:

  • The Service will meet your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results that may be obtained from the use of the Service will be accurate or reliable
  • The quality of any products, services, information, or other material purchased or obtained through the Service will meet your expectations

11. Limitation of Liability

In no event shall GradLyft or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

12. Indemnification

You agree to defend, indemnify, and hold harmless GradLyft and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Modifications to Terms

We may modify these Terms from time to time. If we make changes, we will provide notice of such changes, such as by posting the revised Terms to the Service and updating the "Last Updated" date. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
